KANSAS BIKER’S EMERGENCY FUND BYLAWS
Incorporation of Bylaws (5 July 2005)

ARTICLE I
NAME
The organization hereinafter referred to as KBEF, or the “organization, is legally known as Kansas Biker’s Emergency Fund, and it’s duration shall be perpetual.

ARTICLE II
JURISDICTION
The KBEF shall have jurisdiction of all members, chapters, and use of name and logo within the State of Kansas.
The KBEF will maintain relations between all members, and other State organizations.
The KBEF will assist any and all members of the organization without prejudice.

ARTICLE III
PURPOSE

The KBEF shall be organized for the sole purpose of building a monetary Fund to assist motorcyclists injured in verifiable motorcycle accidents.
The Kansas Biker's Emergency Fund shall promote motorcycle awareness, education, safety, and liberty through community involvement.



ARTICLE IV
OFFICERS
The officers of the KBEF shall be: President, Vice-President, Secretary, Treasurer, and Sergeant of Arms.
Terms of Office: 8All officers will be elected for 1 term. The terms of the President, Secretary, and Sergeant of Arms will be elected in odd numbered years. The terms of the Vice-President, and Treasurer will be elected in even numbered years. Any Officer may be seated for consecutive terms by a vote of the general membership.
Elections: Any vacancies in the offices of the Board of Directors shall be filled by an election of the general membership within 30 days of the vacancy.
Any duties assigned to a vacant seat on the Board will be assumed by the President until the seating of a new Officer to the vacancy. The President reserves the right to assign the duties to any member of the board the president decides, until the vacant seat is filled. All members in good standing of the general membership will reserve the right to participate in the elections.
The Board of Directors shall use and uphold these Bylaws and conduct meetings with Robert’s Rules of Order as a secondary authority.

All Motions and Decisions will be voted on by the general membership at the regularly scheduled meetings.
Any member in good standing may bring a Motion before the Board for discussion and vote.
¹ There shall be NO voting by proxy. The majority of votes of members present at any meeting will be the deciding factor in any election/motion. This will constitute a Quorum.
No Director or Officer of the Organization, or member, shall receive payment of any kind for services rendered to the Kansas Biker’s Emergency Fund.
Special meetings of the Board of Directors shall be held at the time and place determined by the Board. Notice of such meetings, describing the date, time, place, and purpose of the meeting, shall be delivered to each Director not less than 48 hours prior to the meeting, by means of voice, mail or electronic devices.    top

ARTICLE V
CHAPTERS
The Kansas Biker’s Emergency Fund shall be a statewide organization and as such will not sanction individual Chapters.   top

ARTICLE VI
BOARD OF DIRECTORS DUTIES
The Board of Directors will be the governing body of the organization
The Board of Directors will hold equal votes in all elections and decisions of the Board
The Board of Directors will be responsible for all legalities of the organization.
The Board of Directors, as a whole, will sanction any activities of the organization.
The Board of Directors, individually, will be empowered to receive any membership dues, donations, contributions, or physical inventory to the Fund, and will tender them to the Treasurer with an explanation of such.
The Board of Directors will issue any statements, on behalf of the organization.
The duties of the Board of Directors shall include but not be limited to the following:

A. PRESIDENT

Will preside over every meeting of the organization.
Will direct and oversee the duties of each Officer of the organization.
Will sign, with the Vice-President, any and all legal documents of the organization, including but not limited to, letters, disbursements, etc.
Will hold all physical records of the organization.

B. VICE-PRESIDENT

Will act in the capacity of the President during his/her absence.
Will act in any official capacity as the President directs.
Will hold copies of any and all records of the organization.
Will sign, with the President, any and all legal documents of the organization, including but not limited to, letters, disbursements, etc.
Will hold all physical inventory of the organization.
Will be responsible to solicit donations and contributions for any operating materials needed.

C. SECRETARY

Will be responsible for recording the minutes of every meeting of the organization.
Will compile a database of members and supply Board members with copies of such.
At the direction of the Board will prepare any letters, copies, and/or paperwork for the organization.
In conjunction with the Treasurer will physically inventory the holdings of the organization and report such to the Directors in a general membership meeting.
Will notify the Board when any items need to be purchased by the Board.
Will record and present reports on any donations or contributions to the organization.

D. TREASURER

Will be responsible for reporting the financial status of the organization at each meeting.
Will deposit all funds be it check or cash into the KBEF bank account in a timely manner (timely manner will be within one week or 7 days from receiving the funds).
Will be responsible to account for all money and receipts at all times.
Will be responsible for preparation and filing of any yearly taxes that may be due. ² The KBEF tax preparer will be Mr. Gary Gourley.
Will be held accountable for the Check Card.
Will prepare a copy of the financial report for each member of the Board prior to each meeting.
Will keep current all financial statements.
Will sign, along with the President and Vice-President handle any disbursements from the Fund.
Will present financial reports of any rides or activities of the organization.
Will physically inventory, with the Secretary, the holdings of the organization.


E. SERGEANT OF ARMS

Calls the assembly to silence when any meeting is ready to commence.
Assigns the duties of traffic controllers for any formation rides, and will be held responsible for such.
Assigns flag bearers when needed.
Will be responsible for disbursement of arm bands for funeral rides.
Will be responsible for removal of any organization patch that has been dis-honored by a member.
Ensures that each Director is accorded due respect in all meetings and functions of the organization.
At the direction of the President, will insure that meetings remain controlled and will direct the assembly to return to the Motion, or Subject at hand.
Will conduct any duties at the direction of the Board.
Will insure that any vote is legally and correctly counted.   top

ARTICLE VII
MEMBERSHIP
   A.   Any person may qualify for membership in the KBEF by filing a membership application and paying the membership dues established by the organization. No group or class is required or denied membership.
   B.   Each application for membership, accompanied by the established dues may be tendered to any Director.
   C.   Memberships are non-assessable, non-transferable, non-assignable, and non-refundable. ³ Each member has a 30 day grace period, from the time membership renewal fees become due, to renew membership. If the membership is renewed with the 30 day grace period they will still be considered a member in good standing and their cap will increase by $100.00, however if the member fails to renew their membership within the 30 day grace period they will be considered a new member and as thus their maximum cap will not increase for the new year of membership.
   D.   All membership records will be held in strictest confidentiality and used only for KBEF purposes.
   E.   Transfer of membership from one State to another will only be recognized when the receiving State has a sanctioned organization.
   F.   Each member shall abide by the Bylaws of the organization.
   G.   Each member will conduct him/her-self in keeping with the traditions and principles of the organization with respect to the Board of Directors, fellow members, the community, its laws, and the good name of the KBEF.
   H.   Each member will bring to the attention of the Board of Directors any activities that may be injurious to the organization.
   I.   Termination of membership will commence upon death of the member, nonpayment of dues, fraud of the organization, or by decision of the Board of Directors.   top


ARTICLE VIII
COMMITTEES
The Board of Directors may establish committees as it deems necessary, appropriate, and desirable. Such committees will operate only upon the sanction of the Board.
The President and one other Officer shall be ex-officio members of every committee.   top

ARTICLE IX
GRIEVANCES
Member complaints, disputes, dissatisfactions, problems etc., concerning the organization, shall be handled in the following manner.
The interested parties are urged to enter a discussion with the intent of agreement, resolution or compromise.
If necessary, the interested parties can present the issue to the Board for discussion and possible resolution.
If warranted, the interested parties can request a formal hearing by the Board, which will be held in private.
Interested parties must agree to abide by the Boards decision before any hearing will be conducted.   top

ARTICLE X
DISCIPLINE
In the event that any member of the organization acts in such a way as to cause injury to the organization or its Officers, a complaint may be formally filed with the Board.
The Board will hold final authority on any complaints.
Disciplinary action may be one or more of the following:
   a.   A verbal warning or discussion.
   b.   A written reprimand that will also be entered into the members file.
   c.   Suspension from the membership.   top


ARTICLE XI
AMMENDMENTS TO BYLAWS
These Bylaws may be amended by the Board of Directors by a majority vote of the general membership. Notice of proposed changes must be presented at a general membership meeting, voted on, and announced at two consecutive meetings following the vote.   top

ARTICLE XII
AMMENDMENTS TO BYLAWS
In the event the Kansas Biker’s Emergency Fund goes defunct; due to lack of membership participation, 9all remaining funds will be dispersed to the Topeka Chapter of Bikers Against Child Abuse (BACA). As a precaution to prevent this from happening the KBEF will maintain a minimum of $500.00 in the fund for operating expenses, 4 this $500.00 amount will be deducted from the KBEF fund prior to figuring up any payout amount.   top

ARTICLE XIII
AMMENDMENTS TO BYLAWS
All checks will be signed by both the President and the Treasurer. If the president is not available the Vice –president will sign for the president. If the treasurer is not available the Secretary will sign for the treasurer.   top

ARTICLE XIV
AMMENDMENTS TO BYLAWS
All Claims 5 should be accompanied by a police report. The KBEF does not condone drinking and driving nor does it condone operating a motorcycle in a reckless or unsafe manner (i.e riding wheelies, speeding, taking unnecessary risks or racing either on the road, track or off road to include dirt motorcycles), therefore the KBEF reserves the right to review the cause of each accident and decide if, and/or how much the KBEF will grant to the member or their beneficiary on a case by case basis. 6 No payouts will be made to any member until each and every member of the board has been informed of the accident and had a chance to review the accident and vote on if and or the amount the payout should be. After review and approval of the accident by the KBEF, that member or the member’s beneficiary will be granted 5% of the total fund, 7 minus the $500.00 operating expenses or a cap of $1,000.00 at the time the claim was submitted or what ever is determined by the KBEF after the review. Only one claim per member per year will be honored. The cap will increase $100.00 a year for each consecutive year of membership. Membership fees are $60.00 per year.     top
